Eligibility: The RideAustin + Parlor & Yard Mural Contest (the “Contest”) is open only to legal residents of Austin, Texas who are at least eighteen (18) years of age as of the Entry Period (defined below). Employees of Ride Share Austin d/b/a RideAustin, Parlor and Yard, LLC, and each of their subsidiaries, affiliates, officers, directors, employees and agents, and the immediate family (defined as parents, children, siblings and husband or wife) of each such employee, together with those with whom such employees are domiciled, are not eligible to participate.
Sponsor: The Contest is co-sponsored by Ride Share Austin d/b/a RideAustin, 401 Congress Avenue, Suite 2650, Austin, Texas 78701 (“RideAustin”) and Parlor and Yard, LLC, 601 West 6th Street, Austin, Texas 78701 (“Parlor & Yard”)(together “Sponsors”).
Agreement to Official Rules: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsors, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Official Rules will be posted at www.rideaustin.com/contest.
Entry Period: The Contest begins on August 31, 2016, at 5:00pm Central Daylight Time (CDT) and ends on October 14, 2016, at 11:59pm CDT (the “Entry Period”). Entries that are submitted before or after the Entry Period will be disqualified.
Create and Submit an Entry
Create an Entry: To enter the Contest, you must create artwork that is a family friendly, and representative of Austin, Texas culture (your “Entry”). Please review the “Selection Of Potential Winners” Section for details on how Entries will be judged. Your Entry must meet each of the following requirements:
The Entry must be in any of the following formats: JPEG, non-animated GIF, TIFF, or PNG.
The Entry must contain the RideAustin logo in a prominent, but not overbearing, manner.
The Entry may not contain any trademarks, logos, or copyrighted elements, other than the RideAustin logo. Any content that appears in the Entry including, without limitation, images or other audiovisual materials used must be entirely original, created and performed solely by the entrant, or be in the public domain. Use of any content that is not original or in the public domain may result in disqualification of the Entry, in the Sponsors’ sole discretion.
The Entry may not be obscene or indecent, it must not contain defamatory statements, it must not include threats to any person, place, business, or group, it must not invade privacy rights or any other rights of any person, business, or group, and it must not name or depict any third party without his/her permission.
The Entry may not depict or encourage any dangerous, life-threatening, or otherwise risky behavior.
Submit Your Entry: Once you have created an Entry that meets each of the requirements set forth in Section 5a, email a digital version of your completed Entry and your valid email address to firstname.lastname@example.org. Upon confirmation by the Sponsors that the Entry meets all requirements in Section 5a, a link to your Entry will be included on social media sites including but not limited to Facebook, Twitter, Instagram during the Voting Period, as described in Section 6. The entrant explicitly acknowledges that the approval of an Entry meeting with all the requirements in Section 5a shall be in the sole discretion of the Sponsors. There is a limit of one (1) Entry per person.
Selection of Finalists and Potential Winner:
Selection of Finalists: Beginning on October 17, 2016 at 12:00pm CDT and ending on October 24, 2016 at 11:59pm CDT (the “Voting Period”), all eligible Entries will be posted to the following social media websites: Facebook, Twitter, Instagram and any other similar websites. During the Voting Period, the top five (5) entrants that receive the most “likes” and “shares” for their Entry will be deemed a “Finalist”. Finalists will be announced on or about October 6, 2016. Finalists will be notified via the email included on their submission and each Finalist will be required to submit their Entry in print quality 300dpi for display at the final judging event, described in subsection b below.
Selection of Potential Winner: On October 10, 2016 at a time to be determined and communicated by the Sponsors to each Finalist, each Finalist must give a short presentation to a panel of judges made up of Sponsors’ representatives on what art means to the Finalist and the city of Austin, Texas. The panel of judges will then evaluate all Entries based on the following criteria (the “Judging Criteria”): (1) artistic merit, (2) technical expertise, (3) creativity, and (4) how well the Entry captures the spirit and culture of Austin, Texas. The panel of judges may consider factors such as content selection and presentation, use of art techniques, and other factors that Sponsors may determine in their sole and absolute discretion. The Entry with the top score will be deemed a potential winner.
Notification and Requirements of the Potential Winner: The potential winner will be announced on October 26, 2016, after the presentations and judging has taken place. Except where prohibited, the potential winner may be required to sign and return an affidavit (or declaration) of eligibility and a liability/publicity release. In addition, the potential winner may be required to sign a release in which he/she irrevocably assigns and transfers to RideAustin any and all rights, title and interest in the Entry, including, without limitation, all copyrights and trademark rights, and waives all moral rights in the Entry. Documents must be signed and returned to the Sponsors within ten (10) days of being notified. If the potential winner fails to sign and return the required documents within the required time period or is otherwise ineligible to receive the prize, an alternate entrant from the Finalists may be selected in his/her place according to the selection procedures set forth above.
Entrant’s Warranties and Representations: By submitting an Entry, each entrant warrants and represents:
The Entry (i) is original to the entrant, (ii) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (iii) does not violate any law or regulation, (iv) has not previously been entered in any other contest, and (v) has not been previously published in any medium.
The winner will receive (1) a $1,000.00 ride credit on the winner’s RideAustin user account, (2) $1,000.00 cash, and (3) winner’s signature on the completed mural to be located on a building at the corner of 6th and Nueces Streets in Austin, Texas.
Any prize details not specified above will be determined by the Sponsors in its sole discretion. No cash or other substitution is allowed except by the Sponsors who may substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value, as determined by the Sponsors in their sole discretion. The prize is not transferable or refundable and must be accepted as awarded. The winner is responsible for any and all other costs and expenses not listed above. Winner will be responsible for payment and reporting of all applicable taxes associated with the receipt of a prize. Sponsors may report the receipt of any prize to the appropriate federal, state, or local taxing agency(ies).
Sponsors’ Rights to Entries: By submitting an Entry, each entrant:
Understands and agrees that all Entries as-is or as-edited, whether selected as a finalist or as the winner, will be solely and exclusively the property of RideAustin without further review, notice, approval, consideration, or compensation (other than providing the prizes to the winner as set forth in Section 9. Entrant agrees that it shall immediately assign and transfer all right, title, and interest that it may have in and to the Entry completely and exclusively to RideAustin.
Forever waives any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude either Sponsor’s use of the Entry, or require the entrant’s permission for a Sponsor to use the Entry.
Agrees not to instigate, support, maintain, or authorize any action, claim, or lawsuit against either Sponsor on the grounds that any use of the Entry, or any derivative works, infringes any of the entrant’s rights as creator of the Entry including, without limitation, copyrights, trademark rights, and moral rights.
Privacy and Publicity: Except as set forth herein, all information submitted by entrants in the Contest will be treated according to http://www.rideaustin.com/legal/userprivacystatement/. Except where prohibited, participation in the Contest constitutes an entrant’s consent to the each Sponsor’s use of his/her name, likeness, and/or city of residence for promotional purposes in any media without further payment or consideration.
General Conditions: In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsors may, in their sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) award the prizes according to the Judging Criteria from among the eligible Entries received up to the time of the impairment. The Sponsors reserve the right in their sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsors reserve the right to seek damages from any such person to the fullest extent permitted by law. Failure by either Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The Contest is subject to federal, state, provincial, and local laws and regulations and is void where prohibited.
Compliance with Laws; Indemnification: By entering, entrants agree to defend, indemnify and otherwise hold Ride Share Austin d/b/a RideAustin, Parlor and Yard, LLC, and their agents, officers, directors, and employees (the “Released Parties”) harmless from and against any and all liability of any nature whatsoever arising out of or relating to (a) the content in entrant’s Entry; (b) any technical errors that may prevent an entrant from submitting an Entry; (c) unauthorized human intervention in the Contest; (d) errors in the administration of the Contest or the processing of Entries; (e) the receipt, transfer, use, handling, transportation, storage, hosting, posting, or display in any manner of the Entries, (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use of any prize, including any such claim by any third parties. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
Disputes: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Travis County, Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsors in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Texas.
Contest Results: The winner and winning Entry will be posted on [URL] for four (4) weeks following the close of the Contest.
